I understand that by Signing and Clicking the “Confirm Contract” button, I have read and accepted the terms & conditions stated on this page. The following terms and conditions are applicable for clients that have received an invoice from DigiStream360.

Hereafter, the “person”/”organisation”/”Company”/”agency” buying any packages, plans referred in this document as “Services” that includes – Web Design, Search Engine Optimization SEO, Pay-Per-Click Campaigns, Facebook Advertising, Google AdWords, PPC Ads, Ad Management, Analytics Reports, Monthly Maintenance, WordPress, WooCommerce, E-commerce, Service Call, Vincify, Landing Page, Hack Removal, Graphic Services including Logo, Brochures, Business Cards, Banners, Posters, E-Design, Presentation, eBrochures, Booklet, Folder, QR Code, Audio, Print, Delivery, Video, ebooks, Editing, Branding, Video Production & Shooting, Photography, Social Media, Social Media Icons, Internet Marketing Training and any other Strategy Formulation, Training, Graphics and any Marketing and Sales Services ( Do we want to add any other service ) something from DigiStream360. or any of the direct / redirect / indirect links to this page, URL’s, or Domains will be referred in this document as “Client”, “you”, “your” and DigiStream360 as the “Service Provider”, “we”, “us” “our”.

This agreement is based on any past, present and or future Services provided by the Service Provider to the Client. Since the Services offered by the Service Provider are unique and different from one another, the following terms and conditions apply as per the specific Services purchased and documented in the invoice provided by the Service Provider. Other than the Common Terms & Conditions, additional conditions will apply based on the Client’s purchase of the invoiced Services. The following terms and conditions are service-specific as per the Client’s purchase of the services documented in the invoice.

COMMON TERMS & CONDITIONS FOR OUR SERVICES

1. Introduction

Welcome to DigiStream360! By accessing or using our services, you agree to be bound by the following terms and conditions. These terms govern your use of our website, services, and any content available through DigiStream360. If you do not agree with these terms, please refrain from using our services.

2. Authorization

By engaging with DigiStream360 for services such as digital marketing, app development, website development, or any other offered service, the client authorizes us to access their pre-existing accounts where necessary. This includes permissions to access third-party accounts associated with the services, licensed content (images, text, etc.), and configurations needed for the execution of the services.

3. Links

The client is responsible for verifying and approving all links to be used in their project. DigiStream360 does not assume responsibility for any legal consequences resulting from the use of unapproved links provided by the client.

4. Graphics & Media

The client agrees to supply any required media (photos, videos, audio, etc.) in a format that is accessible and usable by DigiStream360. Any costs associated with the procurement of third-party stock media will be borne by the client. DigiStream360 is not liable for any legal consequences arising from the use of third-party media provided by the client.

5. Payment Terms

Payment for services must be made upfront unless otherwise agreed.
For development projects exceeding $1,500, a 50% deposit is required before work begins.
Remaining balances are due upon project completion.
DigiStream360 reserves the right to suspend or remove all services and content if payment is not made within 30 days of notification.

6. Monthly Subscription Service

Clients subscribing to a monthly service agree to pay for services in advance. If payment is not received within 5 days after the due date, services may be suspended, and the account may be handed over to a collections agency if necessary.

7. Amendments and Revisions

Clients may request changes to the services during the design phase. However, significant changes beyond the initial agreement (such as complete redesigns or major content changes) may incur additional charges at a rate of $20/hr or as otherwise agreed upon.

8. Copyright and Trademarks

The client guarantees that they own or have the rights to use any materials (text, graphics, media) provided for the development of their services. DigiStream360 is not responsible for any claims related to the infringement of intellectual property rights associated with materials provided by the client.

9. Third-Party Modifications

If the client, or anyone on their behalf, modifies the work developed by DigiStream360 after completion and causes damage or impairments to the functionality of the site or services, an hourly fee of $20 will be charged for repairs.

10. Indemnification

The client agrees to indemnify and hold DigiStream360 harmless from any claims, losses, or damages arising from the use of services, products, or content provided by the client, including any violations of third-party rights or damages caused by products/services distributed via the website.

11. Ownership

Upon final payment, the client will own the final work developed by DigiStream360, including design, graphics, code, and content. However, until full payment is made, ownership remains with DigiStream360.

12. Design Credit & Portfolio

DigiStream360 reserves the right to include a credit line on the finished website or project for the design and development work. The client agrees to allow their project to be featured in DigiStream360's portfolio and may be asked for testimonials upon completion.

13. Cancellation and Refund Policy

Cancellation requests must be made within 7 days of the service purchase.
If the project is canceled after 7 days, DigiStream360 reserves the right to retain a 50% deposit or further charge for time and expenses already incurred.
Final payments are due upon completion of the project.

14. Confidentiality

DigiStream360 agrees to maintain confidentiality regarding any confidential information shared by the client. This includes strategies, business plans, and sensitive data.

15. Limited Liability

DigiStream360 is not liable for any indirect or consequential damages arising from the use of our services. In no case will DigiStream360 be liable for more than the total amount paid by the client for the services.

16. Abuse & Ethical Use

The client agrees to use our services in a lawful and professional manner. Any abuse, threats, or unethical conduct directed at DigiStream360 staff or its services may result in the immediate termination of services without refund.

17. Revisions to Terms

DigiStream360 reserves the right to modify these terms and conditions at any time. Any revisions will be posted on this page, and continued use of our services will constitute acceptance of those changes.

18. Entire Agreement

This document constitutes the entire agreement between the client and DigiStream360. Any additional agreements or modifications must be made in writing and agreed upon by both parties.

Web Design Terms

1. Domain & Hosting

Domain Registration : We can help register a domain name for you at an additional cost.
Hosting Services : We can assist with setting up hosting, but you may choose to handle it independently.

2. Website Design

Platform : We use open-source platforms like WordPress for website design. We’re not responsible for issues arising from third-party plugins or hosting services.
Cross-Browser Compatibility : We ensure compatibility with Microsoft Internet Explorer 10 and Google Chrome. Additional redesign for new browsers may incur extra charges.

3. SEO & Maintenance

SEO Services : We’ll optimize your site for search engines but cannot guarantee ranking.
Monthly Maintenance : Ongoing technical and content updates are available on a subscription basis. Requests outside the scope may incur extra charges.

4. Liability

We’re not liable for issues caused by third-party services (e.g., hosting, plugins) or external factors.

5. Payment & Cancellation

Payment : Full payment is required before work begins. Late payments may result in suspended services.
Cancellation : Monthly services require a 30-day notice for cancellation. Retention of 50% may apply if cancellation occurs midway.

6. Governing Law

These terms are governed by the laws of India, and any disputes will be resolved in Indian courts.

GOOGLE CONSOLE / WEBMASTER, ANALYTICS, ADWORDS, FACEBOOK ADVERTISING TERMS

1. Payment & Responsibility

Payment : The Client pays directly to Google Inc. and Facebook Inc. for Pay-Per-Click (PPC) campaigns. The Service Provider does not handle payments but will manage and set up campaigns. The Client is responsible for running their own ads using their payment methods.
Campaign Suspension : If ads are disabled without prior notice, the Service Provider is not responsible for maintenance unless campaigns are reactivated.

2. Campaign Design & Success

Design : The Client provides keywords, demographics, and content for the campaign. After approval, any further design changes incur additional charges.
Campaign Success : The Service Provider will set up campaigns to the best of their ability but cannot guarantee success due to factors beyond control, such as bidding competition or technical issues.

3. Refund Policy

No Refunds : No refunds are issued for PPC services, Google Analytics, Facebook ads, or related services, including campaign failure due to Google or Facebook policies, website content issues, or account disapprovals.

4. Google Analytics & Webmaster Tools

Analytics Installation : The Service Provider provides the Google Analytics code but is not responsible for installation unless requested by the Client (additional fees apply).
Website Performance : Google Analytics and Webmaster Tools are tracking tools, not web improvement services. Web improvements or redesigns require additional fees.

5. Liability

The Service Provider is not liable for any issues related to the performance, traffic, or results of the campaigns, and the Client agrees to hold the Service Provider harmless from any claims or damages.

SEO Definitions, Guarantee & Refund :

1. SEO Definitions

SEO (Search Engine Optimization) involves optimizing a website to improve keyword rankings on search engines like Google, Yahoo, and Bing.
The Service Provider works on keywords provided by the Client, but cannot guarantee specific rankings or positions in search engines.

2. SEO Guarantee

SEO efforts focus on organic ranking and are subject to search engine algorithms, competition, domain age, and other factors. The goal is competitive ranking but not guaranteed placement on specific pages.
Search engines are third-party platforms, and the Service Provider can only optimize the website.

3. SEO Commitment

The contract is for a minimum of 6 months, automatically renewing annually. After 6 months, it continues on a month-to-month basis unless canceled.

4. SEO Performance Refunds

No refunds will be made before 6 months if the website is not on the first five pages of Google, Yahoo, or Bing. Organic optimization takes time, and server issues or website inconsistencies may cause delays.
The Service Provider will evaluate results before issuing any refunds.
Re-installation Charges : If optimized content is overwritten or removed, re-installation charges may apply.

5. Google Local Maps & Local SEO

SEO does not guarantee rankings in Google Maps, Yahoo Local, or Bing Local.

Project Planning, Quotes, Changes, and Cancellations

1. Project Plan & Quote

A plan and quote will be provided for the project. These are valid for 30 days from submission. Any changes in requirements may result in a revised plan.

2. Changes After Completion

After receiving the draft, you have five working days to request editorial changes. Changes affecting the original brief may incur additional charges.
Amendments requested after five days may also incur additional fees.

3. Service Cancellation

The Service Provider reserves the right to cancel the service at any time, with full refund of any deposit.
Cancellations may be due to illness, emergencies, or external events.

Your right to cancel

1. Termination of Services

The Service Provider reserves the right to terminate the provision of services at any time.

2. Non-refundable Deposits

In case of cancellation by the Client, any deposit payments are non-refundable.

Late payments

1. Invoice Terms

Payment must be made before the credit term expires, as specified in the invoice.

2. Late Payment Charges

If payment is not made within the specified credit terms, an additional 8% charge over the Kotak Bank of India base rate will apply for the period the invoice remains unpaid.

3. Cheque Payments

When paying by cheque, allow reasonable time for delivery and clearing before the credit term expires. Late payments will incur charges if the payment is not registered as cleared before the term expires.
